Mexico City, July 29, 2024<\/strong><\/p>\n\n\n\n

Basham, Ringe y Correa, S.C. (\u201cBasham\u201d) has advised Mubadala Capital (\u201cMubadala\u201d), in support of co-counsel Kromann Reumert, in an operation which involves the acquisition of RelyOn Nutec (\u201cRelyOn\u201d). With offices in New York, San Francisco, London, Rio de Janeiro, and Abu Dhabi, Mudabala is a manager of around $23 billion in aggregate across its own balance sheet investments and in third-party capital vehicles on behalf of institutional investors, including four flagship private equity funds, four early-stage venture funds, three funds in Brazil focused on special opportunities and a highly diversified evergreen investment strategy focused on private market opportunities, as well as a series of co-investment vehicles, SPVs and continuation funds.<\/p>\n\n\n\n

With headquarters in Copenhagen, a global footprint including Mexico, and around 1,250 employees worldwide, RelyOn Nutec leads the industry through intelligent application of leading-edge technology, developing into the preferred end-to-end partner for customers developing and maintaining a safe workplace while protecting the environment.<\/p>\n\n\n\n

Basham provided local counsel assistance in conducting a legal top up due diligence exercise of the Mexican subsidiaries of RelyOn from a corporate, real estate, tax, environmental, regulatory, labor and social welfare, and litigation perspective, as well as participating in the negotiation of the corresponding closing documentation. This transaction marks Mubadala\u2019s growth from a global perspective and its participation into the Mexican market. The purchase price has not been disclosed.<\/p>\n\n\n\n

The closing of the aforementioned transaction, once the corresponding concentration authorizations were granted, occurred on July 29, 2024.<\/p>\n\n\n\n
