Basham, Ringe y Correa acted as legal counsel to Grupo Carso, through Zamajal, S.A. de C.V. (“Zamajal”), in connection with the acquisition of an additional 30.10% equity interest in Talos Energy México 7, S. de R.L. de C.V. (“Talos México”), the Mexican subsidiary of Talos Energy.
Talos Energy is an innovative energy company with a strong technological focus, dedicated to maximizing long-term value through its exploration and production business in the U.S. Gulf of Mexico and offshore Mexico, who has leverage decades of offshore technical and operational expertise to acquire, explore, and develop assets in key geological trends, while maintaining a consistent focus on safe and efficient operations, environmental responsibility, and a positive community impact.
Talos México holds a 17.4% interest in the Zama oil field, one of Mexico’s most significant offshore discoveries in recent years.
This transaction builds upon Grupo Carso’s 2024 acquisition of a 49.9% interest in Talos México. Following the completion of this transaction, Grupo Carso has increased its total ownership stake in Talos México to 80%.
The transaction was completed following the receipt of all required corporate and regulatory approvals in Mexico.
The Basham deal team was led by partner Juan Carlos Serra, with key support from associate Pamela Salas.
Zamajal is an entity owned 80% by Grupo Carso and 20% by Control Empresarial de Capitales, S.A. de C.V.
