Mexico City, April 15, 2025. Basham, Ringe, y Correa has provided comprehensive legal advisory services to Grain Craft, LLC (“Grain Craft”), the largest independent flour miller in the United States, in the acquisition of Molinos Bunge, S.A. de C.V. (“Bunge Mexico”), a company based in Querétaro, offers products/services such as milling, feed and beverage concentrates, with two leading agribusiness companies: Bunge Milling, LLC, and Bunge Milling, Inc..
Through this transaction, Grain Craft expands its presence in Mexico, primarily with customers in the food, ingredients, and industrial processing industries.
Basham’s role included conducting due diligence on Bunge Mexico, participating in the transaction structure design, and assisting in the review and negotiation of the Securities Purchase Agreement (SPA) and transaction documents.
Basham also led multidisciplinary discussions and provided legal counsel on matters related to antitrust, foreign investment, insurance, infrastructure and transportation, environmental, privacy and data protection, intellectual property, real estate, litigation, labor and social security, among other areas.
The closing of the aforementioned transaction is expected to occur in the following months, subject to the obtaining of the required governmental approvals.
