Guidelines for the Development of PEMEX Mixed Investment Schemes.

On April 29, 2025, “Petróleos Mexicanos” (“PEMEX”) published in the Federal Official Gazette the “Guidelines for Mixed Development Schemes of the State-Owned Company, PEMEX” (the “Guidelines”), with the purpose of establishing procedures to be followed by PEMEX and where applicable, the Ministry of Energy (“SENER”) for the procurement and implementation of mixed co-investment schemes.

The most relevant aspects of the Guidelines include the following:

Economic Evaluation of Proposals.

  • Based on the characteristics of the area and production, with a minimum PEMEX participation of 40%.
  • Allows cost recovery of (i) up to 30% of revenue value; or (ii) up to 40% with authorization from the PEMEX Board of Directors (“CAPEMEX”) and prior approval from SENER.


Payment Mechanisms and Mixed Contract Structure.

  • Incorporation of a special purpose vehicle for payment purposes.
  • Provides for in-kind compensation and adjustments based on variations in hydrocarbon prices or production volumes.


Participant Selection Procedures.

  • Conducted pursuant to terms authorized by the SENER, through either in-person or electronic means.
  • Four participation mechanisms are established: public tender, restricted invitation, competitive award procedure and direct award, each subject to specific timelines.


With the publication and entry into force of these Guidelines, PEMEX shall observe the mechanisms established for the announcement, evaluation and selection of participants in all procurements carried out under such scheme, with the understanding that the specific characteristics of each project shall be defined in the corresponding call for tenders and tendering guidelines.

PEMEX is expected to issue calls for tenders in the coming months for the development of assignments under mixed investment schemes.
