MULTIVA ACQUIRES CI BANCO’S TRUST BUSINESS

On August 19, 2025, Banco Multiva, S.A., Institución de Banca Múltiple, Grupo Financiero Multiva (“Multiva”), announced that it has entered into an agreement to acquire the entirety of the trust business of CIBanco, S.A., Institución de Banca Múltiple (“CIBanco”), a credit institution that had been temporarily intervened by the National Banking and Securities Commission (Comisión Nacional Bancaria y de Valores) (“CNBV”).

With the transfer of the trust business, whose process was supervised and overseen by the Institute for the Protection of Bank Savings (Instituto para la Protección al Ahorro Bancario) (“IPAB”), the Ministry of Finance and Public Credit (Secretaría de Hacienda y Crédito Público) (“SHCP”), and the CNBV, Multiva will ensure the continued normal operation of trusts, guaranteeing compliance with the applicable regulatory framework and the protection of trusts and their beneficiaries.

CIBanco’s trust business covers a wide range of activities, including the management of investment funds, the administration of trusts in their various forms, and the operation of fiduciary instruments that represent a key component within the Mexican financial system. With the announced acquisition, all these vehicles will now be managed by Multiva once the regulatory authorization processes are completed.

Multiva clarified that the transaction is subject to obtaining the corresponding regulatory authorizations before it takes operational effect. This acquisition is part of its strategic expansion plan, which aims to increase its participation in the trust services market.

Likewise, Multiva stated that it is ready to begin operations immediately, with the necessary technological infrastructure, personnel, and systems to ensure service continuity without affecting the clients of the transferred trusts.

This transaction not only guarantees the continuity of financial services and the protection of the rights of participants in such instruments, but also fits within Multiva’s broader expansion and strengthening strategy. This strategy seeks to consolidate its presence in highly specialized financial markets, strengthen its operational capacity, and significantly increase the volume of assets under management, positioning the credit institution as a reference player in the trust sector.

The transaction between Multiva and CIBanco represents a significant step toward guaranteeing the stability of the trust system in Mexico, while reinforcing Multiva’s position in the sector. With this, the protection of users and the continuity of financial services are ensured in strict compliance with applicable legal provisions.
